Terms and Conditions

Payment Terms

Unless otherwise agreed to payments terms are strictly 7 days from date of invoice.

New projects require a 50% upfront payment for the project to commence and the balance is payable once development work has been completed. The site will not be made live before the final payment has been received.

Monthly or retainer invoices will be invoiced on the first work day of the month when due and needs to be paid within 7 days. Late payment may result in the suspension of your services.

ZAWebs reserves the right to adjust pricing annually in line with the latest South African Consumer price index.

Project Terms

The Design and Layout (template) of the website will be designed in accordance with the client. It is the responsibility of the Client to provide ZAWebs with logos, marketing material and source graphics to ensure ongoing brand awareness and marketing continuity.

Where possible we will make use of graphics from our archives at no extra cost however should we need to make use of stock photos and graphics it will be for the client’s account!

Please note that added functionality (e.g. custom forms, etc.) and/or any extra programming not originally quoted for does not form part of maintenance agreements and will be quoted on should the client request this.

Completion of the project

Once ZAWebs have completed the development phase the client will be notified telephonically and/or in writing. to arrange for finalization of the website by adding content and/or training and data capturing. Since this phase relies on the client to supply the data any undue delays in supplying this information should be communicated with ZAWebs.

Failure to supply the data within 14 days will result in ZAWebs requesting the full settlement of any outstanding payments alternatively terminate the project.

Website Maintenance

Content management systems

This section refers to websites where the owner requested to maintain the content via a control panel.

Once the website has been completed and a client has been trained to use the control panel the responsibility to maintain and update the website content becomes that of the client.

Managing Content

Upon completion of the project ZAWebs will introduce the control panel and train the owner or their representative on adding and updating content to the website. As part of this exercise content will be added to test and demonstrate the website’s features. During this phase we will assist the client to make the website presentable before launching. For this purpose we include 3 hours of data capturing in our quotes subject to the client making available suitable data.

Due to the ever escalating amount of data captured on content management systems we cannot include data capturing/management in a standard website maintenance package.

Based on the amount of content/products listed on the website ZAWebs is prepared to negotiate either an hourly or monthly rate to perform this function on behalf of a client.

Non Content Management Systems – (Static Websites)

An optional Anual/monthly maintenance agreement that include the renewal of the domain, web hosting and also reasonable changes not exceeding 5 (five) hours per year that you wish to have performed to text or images on your website. This specifically excludes additional pages and functionality which will have to be quoted for separately. Should you require more work to be done than the 5 hours our Maintenance Plan provides for, we will provide a quote or estimate as to how much we will charge before proceeding with the requested changes.

Search Engine Optimisation (SEO)

Search Engine optimization has become a major factor in maximizing the impact of an on-line presence for any business. Contrary to the popular belief this is not achieved with a once of wave of a “magic wand” that will get you on the front page of Google – it is a culmination of numerous on-site as well as some external factors.

Although we optimize websites that we develop during the development and initial data capturing stage SEO needs to be actively managed with adjustments made from time to time. This can be done by the client through the control panel.

Should clients prefer an Advanced SEO Programme can be negotiated with ZAWebs at an extra cost.

Technical Maintenance

ZAWebs cannot future proof its services or products. The internet is an ever changing environment and upgrades to browsers may result in a website not functioning properly. Should work be required as a result of these events ZAWebs will provide the client with a quote to rectify the problem.

Warranty

Any technical problems encountered during the first month will be resolved. This can be extended as part of a maintenance agreement.

 

Maintenance Agreements

In order to perform any changes on your website we will need to cover the time of our developers and/or content managers. We charge on a per half hour or part thereof basis.

This can, however, become a costly exercise for both you and us so we prefer to have a Monthly or Annual Maintenance Plan.

A client can enter into a maintenance agreement with ZAWebs where we will attend to any technical problems that may arise. Minor programming updates and changes to the content can also be included depending on the client needs.

Ongoing telephonic, Skype and personal (at our offices in Port Elizabeth) support are also included in these agreements.

On Static websites the maintenance agreement also provide for reasonable changes to the content not exceeding 5 (five) hours per year.

3rd Party Services

ZAWebs will offer to Clients third party services such as those offered by Google to enhance the performance of their websites. We may include the setup and maintenance of such third party services in a quote but will not be liable to the Client for any interruption, non-performance, or cancellation of the provision by third parties of any such services.

 

Webhosting and Domain Registration

Clients can either transfer their domain to ZAWebs or a suitable domain can be registered on behalf of the client. The domain is the property of the client as long as the annual payments are kept up to date.

Webhosting can be included in the Technical maintenance agreement.

General

Travel and Accommodation – It is presumed that all meetings, presentations, etc. if required will take place at our premises in Port Elizabeth. Should travel elsewhere be required, this shall be by prior arrangement and any and all accommodation and/or travel costs may be invoiced as additional expenses over and above this quotation. Road travel will be charged at the AA rates prevailing at the time. Accommodation, meals and air travel will be charged at cost.

 

Limitation of Liability

ZAWebs shall not under any circumstances be liable for any consequential, indirect or special damages of whatsoever nature and howsoever arising, whether in contract, delict or otherwise, suffered by Client arising out of the design or use of the website developed by ZAWebs. Without derogating from the aforegoing, ZAWeb’s total liability to the client for direct damages will be limited to the amount paid to it by Client less the proportion of the services already rendered and approved by the Client.
